1Acceptance of these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Toleriva, a brand of The Nelson M Group LLC ("Toleriva," "we," "us"). They govern your use of toleriva.com and related services, among them email and text-message programs (the "Services"). By using the Services or submitting a form, you agree to these Terms, our Privacy Policy, and, if you opt in to texts, our SMS Terms. If these Terms are not acceptable to you, do not use the Services.

2What Toleriva is, and is not

Toleriva is an information service. We publish general, plain-language information about how clinical research works, how to read a study listing, what informed consent means, and which questions to ask a study team, and let visitors opt in to related updates. We do not give medical advice, diagnosis, or treatment, do not run, recruit for, or enroll people in clinical studies, and do not match or refer people to studies or research sites, and we never share your details with study sponsors, research sites, recruiters, pharmaceutical or device companies, lead-generation companies, or any other partners.

• Decisions about your health and about taking part in any research are yours. Reading our content does not obligate you to do anything.
• Your doctor and the study team, not Toleriva, decide whether a study is right for you and explain its risks, procedures, and conditions.
• Every study is different. We will not guarantee that any study is safe, suitable, or open to you, or that you will qualify for or benefit from any research.

3Eligibility

To use the Services you must be 18 or older, be located in the United States, and have the capacity to enter a binding contract. Send us information only about yourself or about someone who has given you permission to do so.

4Your information and accuracy

You are responsible for supplying accurate, current information and for updating it when it changes. Only a mobile number you own or are authorized to use may be provided. If your number changes or is reassigned, please reply STOP from the old number or contact us so that we do not message someone else.

5Communications and text-message consent

By opting in, you agree that we may reach you by email and, where you check the relevant boxes, by automated text messages as outlined in the SMS Terms. Consent to texts is optional, is not a condition of purchase or of using the Services, and may be withdrawn at any time by replying STOP. Message frequency varies. Message and data rates may apply. 6Text messaging: rates, frequency, STOP and HELP

• STOP: Reply STOP to any message to opt out (STOPALL, UNSUBSCRIBE, CANCEL, END and QUIT also work). You will get one confirmation text and then no more messages.
• HELP: Reply HELP to any message for help, or contact us by email at [email protected] or by phone at 877-550-1034.

Mobile information and opt-in data are not sold or shared with third parties or affiliates for marketing or promotional purposes. See the Privacy Policy and SMS Terms.

7Acceptable use

You agree not to: (a) submit false, misleading, or someone else's details; (b) use the Services for unlawful, fraudulent, or abusive purposes; (c) interfere with or disrupt the Services or attempt unauthorized access; (d) use bots or automated means to submit forms; (e) copy, scrape, or resell our content without permission; or (f) impersonate any person or entity. We may suspend or end your access if you do.

8Third-party organizations and links

Organizations, programs, and products mentioned on or linked from the Services (for example government agencies, hospitals, or patient organizations) are run independently of us. Mentioning one is not an endorsement of any product, plan, or provider, and we are not responsible for third-party conduct, content, or results. Your relationship with any doctor or study team is between you and them.

9Intellectual property

The Services, including the Toleriva name, logo, text, graphics, and design, are owned by us or our licensors and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Services for personal, non-commercial uses. Photographs on the Site are used under their respective free-use licenses.

10Disclaimers

The services and content come "as is" and "as available," without express or implied warranties such as merchantability, fitness for a particular purpose, accuracy, and non-infringement. We cannot warrant that the services will be uninterrupted, error-free, or secure, nor that a message will be delivered or delivered on time.

Toleriva does not offer financial, legal, or tax advice, and makes no representation about any medical outcome, study result, or eligibility.

11Limitation of liability

To the maximum extent the law permits, Toleriva and The Nelson M Group LLC, and their members, managers, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of (or inability to use) the services, or from any health or research decision you make or do not make. Our total liability for any claim relating to the services will not exceed one hundred U.S. dollars ($100).

In jurisdictions that do not allow certain limitations, those limitations may not apply to you. These Terms never limit liability that the law says cannot be limited.

12Indemnification

You agree to indemnify and hold harmless The Nelson M Group LLC and its affiliates and personnel from claims, damages, and expenses (including appropriate attorneys' fees) arising from your violation of these Terms, your misuse of the Services, or your provision of a phone number or other details that you were not authorized to offer.

13Disputes, governing law, and arbitration

Informal resolution first. Start by writing to us at [email protected] so that we have 30 days to try to resolve it.

Binding arbitration. Apart from small-claims matters and injunctive-relief claims over intellectual-property misuse, every dispute between you and Toleriva or The Nelson M Group LLC arising from or relating to these Terms or the Services shall be resolved through final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. At your choice, the arbitration is held in your county of residence or by video or phone. An arbitrator may award the same individual relief as a court, and judgment on the award can be entered in any court with jurisdiction.

Class-action waiver. You and Toleriva each waive, to the extent the law permits, any right to bring claims as a plaintiff or class member in a class, collective, or representative action; claims can be brought on an individual basis only.

Opt-out. Arbitration is optional if, within 30 days of first accepting these Terms, you email [email protected] and include "Arbitration Opt-Out" as the subject, along with your name and mobile number.

Governing law. We interpret these Terms under the Federal Arbitration Act and the laws of the state where The Nelson M Group LLC has its principal place of business, ignoring conflict-of-law rules. The state and federal courts based there have exclusive jurisdiction, subject to the arbitration clause.

14Termination

You may stop using the Services at any time, and may opt out of messages by replying STOP. Violations of these Terms, among other things, may lead us to suspend or terminate access at our discretion. Sections which by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and disputes) will.

15Changes

We can amend these Terms by posting a new version with a new "Last updated" date; if you retain using the Services after the effective date, you accept the amended Terms. We will give legally required notice of material updates.

16General

These Terms, the Privacy Policy, and the SMS Terms make up the whole agreement between you and us on this subject. An unenforceable part does not affect the remainder, and our not enforcing a provision is not a waiver of it. You may not assign these Terms without our consent. We may assign them in connection with a merger or sale of the business.
